Marvell announced on November 2 that it plans to acquire Lumentum in an all-stock deal. One company sells networking and interconnect silicon; the other makes lasers, optical modules and optical circuit switching equipment. The idea is to bring adjoining parts of an AI server's electrical and optical links closer together. The deal has not closed, and the announcement does not change an existing part order, price or lead time.
Lumentum shareholders would receive 4.500 Marvell shares for each Lumentum share. The companies expect to close in the first half of 2028, after shareholder and regulatory approvals. Until then, buyers still need product-specific information from the respective suppliers.
Why Marvell wants Lumentum #
As AI clusters grow, the handoff from switching silicon to optics becomes harder to design in isolation. Marvell has switching, custom-compute connectivity and electrical-to-optical silicon. Lumentum brings lasers, optical transceivers, optical circuit switching (OCS) and compound-semiconductor manufacturing. The announcement describes opportunities to design across that handoff after closing; it does not name a qualified joint product yet.
That is relevant to teams buying optical modules, laser devices and the silicon around them. Common ownership would not make one module or IC interchangeable with another. Optical parameters, interfaces and customer approvals remain tied to the actual system design.
Existing orders stay on their own terms #
For a current build, keep using the approved BOM and existing purchase orders. A product-specific change notice, revised ordering guide or written quote would be a reason to revisit them; a merger announcement alone is not. Check the exact part number, revision and delivery promise if an optical or interconnect component is already tight.
Future joint products will have to be judged when the companies publish their specifications.
